Generally, the process to acquire shares in a company (other than through a stock exchange) is not so different from the process to acquire a real estate. Similarly, the general duties and responsibilities of a corporate lawyer in a corporate transaction are not alien to the general duties and responsibilities of, for instance, a conveyancing lawyer.
So, what makes corporate practice different from other practices? Or, perhaps the correct question might be, what is actually corporate practice?
In this session we will share, among others, what corporate practice is all about, what are the roles of a corporate lawyer in a corporate transaction and the practical aspects of how a corporate lawyer should discharge such roles.

Muhammad Zukhairi is a Partner of the Corporate Finance and Securities department at Zaid Ibrahim & Co. He is experienced in advising various corporate exercises involving capital market and securities. He has advised clients in exercises involving quotation and listing of securities on the Malaysian stock exchange and other stock exchanges, equity capital raising, derivatives, etc. He was involved in various corporate exercises involving local and cross-border and was part of the team of a listing exercise of the world’s second biggest IPO for 2012, Felda Global Ventures Holdings Berhad – one of the largest plantation-based companies. He was also involved in advising Bursa Malaysia Berhad for the establishment of the world’s first internet-based spot commodity trading platform for Islamic financing, named as Bursa Suq as-Sila’. He was also part of the team Advising RHB financial group on its proposed RM37 billion merger with AmBank group involving financial sector regulatory approvals of multiple countries.
In addition to the capital market and securities segment above, he has vast experience in various corporate transactions involving joint ventures, mergers and acquisition of private companies and businesses, corporate restructuring, establishment of and investment by private equity funds etc.
He is versatile in his practice areas with his additional professional qualification in Islamic finance and experience in project-based exercises such as the development of solar-based and gas-based power station by independent power producer in Malaysia, India, Iraq and Bangladesh.
