Description

Part 1: Oppression of Shareholders — Framing Your Claim by Justin Wee
2:00 to 3:15 pm

The presentation will be divided into four main parts:

  • Parties — identifying the correct parties to a claim involving oppression of shareholders;
  • Ingredients — to a claim involving oppression of shareholders;
  • Remedies — the type of remedies given in a claim involving oppression of shareholders; and
  • Mode — commencement of the action.

Part 2: Just and Equitable Winding-Up by Wong Hok Chong
3:30 to 5:00 pm

In a dispute among shareholders, parties would have to consider their legal rights and the remedies available to them. These may be in the form an action for breach of a shareholders’ agreement, a derivative action, an action for oppression, or a petition to wind-up the company. In this presentation, we shall look at the law and circumstances where the Court may order that a company be wound-up on the ground that it is just and equitable that the company be wound up.

Speaker

Justin Wee is the founder of Messrs Justin Wee and he has been actively representing clients in heavily contested litigation since 2008. He is a member of the Inns of Court Malaysia, INSOL International, and the Insolvency Practitioners Association of Malaysia (“iPAM”).

His court practice comprises mainly of corporate litigation briefs which includes representing parties in derivative action,
oppression of shareholders suits, contested liquidation / winding-up, and economic torts. He has appeared at all levels of trial courts and also handled appellate briefs. He acts both in an advisory capacity and as an advocate, or as part of a team of advocates.

In terms of his academic works, Justin Wee was one of the contributing editors to the maiden edition of the Malaysian White Book. Since then, he has been invited to be a contributing editor to every edition of the prestigious Malaysian White Book publication. His written works have also been published by INSOL International, iPAM and local newspapers.

 

Wong Hok Chong graduated from the London School of Economics and Political Science, University of London with a LLB (Hons) in 1990 and subsequently obtained his postgraduate degree (LLM) from Universiti Malaya in 1997.

He was admitted to the Degree of the Utter Bar at Middle Temple in 1991, admitted as an advocate and solicitor of the High Court of Malaya in 1992 and admitted as an advocate and solicitor of the Supreme Court of Singapore in 2009.

He was in legal practice from 1992 until 2019 and served as a judicial commissioner of the High Court of Malaya at High Court Penang from 2019 until 2021, before joining Louis Ambrose & Partners as a consultant in 2022.

Hok Chong’s practice focuses on civil litigation, including administrative law, commercial law, corporate law, property law, probate and estate law.

Terms and Conditions

Event Policy

Places are limited and registration is on a first-come, first-served basis.

For events with registration fees, all payments must be made in advance, including bank charges. Registration will be confirmed once proof of payment is provided by email or fax, and full payment is received.

For events that are not organised by Bar Council, please note that you are subject to the relevant terms and conditions specified by the external providers.

Cancellation 

Cancellations must be made in writing.

If you have failed to inform the organiser on your cancellation for three consecutive times, you may be blacklisted for future events.

Refunds 

Refunds will be processed after the event is completed. This may take up to 30 business days. The conditions for refunds are as follows:

  • Full refunds will be issued if the event is cancelled or postponed by the organiser due to some circumstances.
  • There will be no refunds for cancellations made fewer than seven working days before the session but substitutions are allowed.

The organiser reserves the right to modify, cancel or postpone the event, should circumstances arise that make such action necessary, whereupon all registration fees paid will be refunded.

Transferral

You are allowed to transfer your place to another participant, but you must notify the organiser with the necessary details.

Attendance 

CPD points will not be awarded to lawyers and pupils in chambers from Peninsular Malaysia who arrive more than 15 minutes late, are not present throughout the event, or leave before its scheduled end.

Privacy 

The personal information that you provide to the Bar Council, whether now or in the future, may be used, recorded, stored, disclosed or otherwise processed by or on behalf of the Bar Council for the purposes of facilitation and organisation of this event, research and audit, maintenance of a participant database for the promotion of this event, and such ancillary services as may be relevant.
