Topic 1: Corporate Liability Provision
Introduce the Corporate Liability Provision and its implications to Directors, Partners and Management of Commercial Organisations. The main focus is on the implication of the Corporate Liability Provision, the extent of its coverage, the “lines of defence” available to Commercial Organisations and those charged with governance (e.g. Directors, Partners, Offi cers, Controllers and Management). Case studies will be discussed to elucidate the implication of this Provision to better prepare stewards of commercial organisations on compliance.
Topic 2: Adequate Procedures
In the Guidelines published by the Prime Minister’s Department on the implementation of the new Section 17A of the MACC Act 2009, it is stated: “These guidelines are not intended to be prescriptive and it should not be assumed that “one-size-fits-all”. They should be applied practically in proportion to the scale, nature, industry, risk and complexity of the organisation”.
